How CAQA Contracts subscriptions are established, billed, renewed, changed and cancelled.
These Subscription Terms explain how subscriptions to the CAQA Contracts platform, part of CAQA Groups and Career Calling International Pty Ltd (ABN 53 162 651 238), are established, billed, renewed, changed and cancelled for the education and service organisations that use our contract lifecycle management platform.
CAQA Contracts is not sold through an online checkout, and no payments are taken through this website. Subscriptions begin with an enquiry or demonstration arranged through our contact page, by email to info@caqa.com.au or by phone on 1800 266 160, followed by a written proposal or order form describing the modules, user numbers, implementation services, fees and term. A subscription commences when both parties accept the proposal or sign the agreement.
Subscription fees are set out in the client's proposal or agreement and are invoiced directly, typically monthly or annually in advance. Invoices are payable by the due date shown. Fees for implementation, data migration, training or custom development are quoted separately before work begins. All amounts are in Australian dollars and, unless stated otherwise, exclusive of GST.
Unless the client agreement states otherwise, subscriptions renew automatically for successive terms of the same length. We will give reasonable notice of any fee change before renewal, and clients may elect not to renew by giving notice in accordance with their agreement before the renewal date.
Clients may add users or modules during a term, with fees adjusted pro rata from the date of the change. We may improve, update or replace platform features from time to time; where a change materially reduces core functionality that a client relies on, the client may raise it with us and, if unresolved, exercise its cancellation rights under the agreement.
Cancellation notice periods are stated in each client agreement. On cancellation, access continues to the end of the paid period unless otherwise agreed, and clients may export their data as described in the Data Processing and Security Notice. Fees already invoiced for the current period remain payable unless the agreement or the Australian Consumer Law provides otherwise.
Because no payments are made through this website, there is no website purchase to refund. For platform subscriptions, refunds are handled under the client's agreement: amounts paid for services not yet delivered at the date of a cancellation caused by us will be refunded, and nothing in these terms excludes, restricts or modifies any right or remedy under the Australian Consumer Law, including consumer guarantees that cannot lawfully be excluded.
We may suspend platform access where invoices are significantly overdue, where the Acceptable Use Policy is breached, or where suspension is necessary to protect security or comply with law. We will give notice where practicable, work with the client to resolve the cause, and restore access promptly once it is resolved. Suspension does not extend the subscription term.
Where a trial or pilot period is offered, its length, scope and any conditions are confirmed in writing before it begins. Trials do not automatically convert into paid subscriptions: at the end of a trial we will confirm whether the organisation wishes to proceed, and a paid subscription starts only once a proposal or agreement has been accepted. Data entered during a trial can be retained into the paid subscription or exported and deleted at the client's request.
All active subscriptions include standard support as described on our Support and Service Levels page. Enhanced support arrangements, where agreed, are recorded in the client agreement, together with any additional fees that apply to them.
